1. Agreement to Terms

By accessing and using CADesignPro's website (cadesignpro.com) and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our Site or services. We reserve the right to modify these terms at any time. Continued use of the Site following notification of changes constitutes your acceptance of new terms.

2. Use License

Permission is granted to temporarily download one copy of the materials (information, software, and graphics) contained on CADesignPro's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website
• Obtain or attempt to obtain any materials or information through any means not intentionally made available

3. Disclaimer

The materials on CADesignPro's website are provided "as is". CADesignPro makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

In no event shall CADesignPro or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on CADesignPro's website, even if CADesignPro or an authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on CADesignPro's website could include technical, typographical, or photographic errors. CADesignPro does not warrant that any of the materials on our website are accurate, complete, or current. CADesignPro may make changes to the materials contained on our website at any time without notice.

6. Links

CADesignPro has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by CADesignPro of the site. Use of any such linked website is at the user's own risk.

7. Modifications

CADesignPro may revise its website materials at any time without notice. However, CADesignPro does not commit to update the materials contained on our website, and accordingly, CADesignPro may not be held liable should an out-of-date or inaccurate material be displayed on our website.

8. Service Terms

8.1 Project Scope

All projects are governed by signed agreements specifying scope, deliverables, timeline, and pricing. Changes to agreed-upon scope require written change orders. Additional work beyond the scope will be billed separately.

8.2 Payment Terms

Unless otherwise specified in a service agreement, payment is due upon invoice. A 50% deposit is required to begin projects. Failure to pay invoices within 30 days may result in project suspension and collection action.

8.3 Revision Policy

Services include revisions as specified in the service agreement. Additional revisions beyond included rounds will be billed at our standard rates. Unlimited revision offers terminate after 60 days of project completion.

9. Intellectual Property

All work product, designs, code, and materials created by CADesignPro remain the intellectual property of CADesignPro until final payment is received. Upon full payment, client receives ownership of custom work, excluding underlying frameworks, libraries, and pre-existing components.

10. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information shared during the service relationship. This obligation survives for three years after project completion.

11. Limitation of Liability

In no event shall CADesignPro's total liability to client exceed the amount paid for services provided. CADesignPro shall not be liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

Client agrees to indemnify and hold harmless CADesignPro from any claims arising from client's use of deliverables, violation of intellectual property rights, or breach of these terms.

13. Termination

Either party may terminate service agreements with 14 days written notice. Client remains responsible for payment for work completed through the termination date.

14. Governing Law

These Terms & Conditions and all service agreements are governed by the laws of Ontario, Canada, and both parties agree to submit to the jurisdiction of Ontario courts.

15. Dispute Resolution

Any disputes shall be resolved through mediation or arbitration before litigation. Both parties agree to attempt resolution in good faith before pursuing legal action.

17. Severability

If any provision of these Terms & Conditions is found to be unenforceable, that provision shall be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full effect.

18. Entire Agreement

These Terms & Conditions, together with any signed service agreement, constitute the entire agreement between you and CADesignPro regarding the subject matter and supersede all prior negotiations, representations, and agreements.
